BFF notifies the execution and the completion of the share buy-back programme

Milan, 8th June 2020 – BFF announces to have purchased, in the period between 29th May and 4th June 2020, 521,830 ordinary treasury shares, equal to 0.306% of the total 170,602,717 issued shares, for a total amount – fees excluded – of Euro 2,699,778.27, as authorised by the Shareholders’ Meeting held on 2nd April 2020 and under the launch of the programme resolved by the Board of Directors on 28th May 2020, disclosed pursuant to the delegated Regulation 2016/1052/EU.

Purchases were executed by the authorised intermediary Mediobanca S.p.A..

The aggregate of the daily buy-back transactions on the MTA (Mercato Telematico Azionario) managed by Borsa Italiana S.p.A. is reported below and, attached, the detail of such transactions executed in the aforementioned dates.

Also following the abovementioned purchases, and considering the treasury shares already in the portfolio, to date the Bank holds, directly or through subsidiaries, 686,992 treasury shares, equal to 0.403% of the total issued shares.

The share buy-back programme, aimed at providing the Bank of a stock of financial instruments necessary to fulfil the obligations provided by the remuneration and incentive systems according to the “Remuneration and incentive policy in favour of the members of the strategic supervisory, management and control bodies, and of the personnel of Banca Farmafactoring banking group” in force, has been, therefore, completed, since the total amount of BFF shares purchased is almost equal to the maximum amount of the programme (€2.7m), announced to the market with previous press release dated 28th May 2020, to which reference should be made.
